Exhibitor Rules & Regulations

2011 America's Outdoor Show

Participation in America's Outdoor Show is contingent upon acceptance of these rules and regulations.

Exhibit space contracted is subject to cancellation unless payments are received by deadlines listed above. The company, its employees and agents, herein after referred to as Exhibitor, and JIS Ventures Corp (and its officers, agents and employees) is herein after referred to as Promoter.

1. SPACE: Contracted space is for use only by the firm appearing on the exhibitor application and may be used only as specified. Booth sharing is not permitted. Subletting, assigning or apportioned contracted exhibit space without permission is not permitted. Promoter(JIS Ventures Corp/America's Outdoor Show) retains the right to prohibit installation or exhibition of exhibit or materials not approved by them or expel any exhibit which in its sole judgment is not contributing to the theme of the event. Promoter reserves the right to relocate any exhibit which violates fire or safety regulations, or for any other reason if it feels the relocation will benefit the show. The setup of an exhibit and/or the issuance of exhibitor credentials will not be permitted until exhibit space is paid for in full.

2. BOOTH DIMENSIONS & DESIGN: A standard single booth measures 100 square feet. No Exhibitor will be permitted to erect an exhibit outside his allocated space or in such a manner as to obstruct the view or provide a disadvantaged effect to the display of other exhibits. Exhibits and exhibit materials exceeding approximately three feet (3') in height must be confined to the rear of the booth, extending no more than four feet (4') from the back wall. Overall height of the display or exhibit should not exceed eight feet (8'). Portions of an exhibit which are naturally longer than eight feet including: surf rods, outriggers, etc. are allowed provide they do not interfere with another exhibit. In case of a dispute regarding this rule, Promoter's decision will be final.

3. LIABILITY & INSURANCE: Neither the Promoter, JIS Ventures Corp/America's Outdoor Show, its subsidiaries, affiliated companies and their officers, directors, agents and employees, nor the Owner of the facility, and their representatives will be responsible for any injury, loss or damage that may occur to the Exhibitor or the Exhibitor's employees or agents or property from any cause, whatsoever, prior to, during, or subsequent to the period covered in the exhibitor application. Exhibitor upon signing the Exhibitor Agreement expressly releases the above-named entities and individuals from any and all claims for any and all loss, damage or injury whatsoever. The Exhibitor shall indemnify and hold harmless, JIS Ventures Corp/America's Outdoor Show, its subsidiaries, affiliated companies and their officers, directors, agents and employees, the Owner of the facility, and their representatives or employees from any and all claims, actions, causes of actions, liabilities, damages, costs, losses and expenses (including attorney's fees) as maybe asserted against them or incurred by them for any and all accidents, occurrences or events resulting from the Exhibitor's acts or omissions. Exhibitors must ensure that their regular company insurance includes an extension of coverage for off-premises, and that they have their own theft and property damage insurance. It is mandatory that all exhibitors carry public liability insurance in the amount of at least $1,000,000 naming JIS Ventures Corp/America's Outdoor Show on the policy as the Payee and Exhibitor agrees to provide Promoter with a Certificate of Insurance prior to Set-Up.

4. RETAIL SALES & USE OF TAX REGULATION: Exhibitors may sell merchandise directly from their contracted booth. All Exhibitors selling must comply with the State of Illinois rules and regulations governing collection of sales tax, obtain a vendor license, and display the original document during show hours. Any exhibitor accepting deposit money for a product or service to be delivered at a later date must provide the buyer with a receipt containing the Exhibitor's business street address and telephone number.

5. PAYMENTS: Obligation of full payment of exhibit space is determined by contractual obligation rather than actual occupancy. If payments are not made by dates specified on Exhibitor Application, any prior deposits received may be retained by JIS Ventures Corp/America's Outdoor Show, the contract will be deemed terminated for breach of contract and the exhibit space will automatically revert to Promoter. No refunds will be made. Exhibitor agrees that whenever an attorney, or court, is used to obtain payment due hereunder, all attorney and court fees (both Promoter's and Exhibitor's) shall be payable by the Exhibitor.

6. PROMOTER: The PROMOTER will not be liable for the fulfillment of this contract as to the delivery of said exhibit space if non-delivery is due to any of the following causes: By reason of the facility being damaged or destroyed by fire, act of God, public enemy, war or insurrections, strikes, the authority of the law, postponement or cancellation of the exposition, or for any cause beyond its control. It will, however, in the event of its not being able to hold an exposition for any of the above named reasons reimburse exhibitors pro rata on any amount paid; less any and all legitimate expenses incurred for advertising, salaries, operating expenses, etc.

7. EXHIBITOR SET-UP: The EXHIBITOR agrees to set up prior to the show's opening and stay set up for entire show until its close, to make sure the exhibit is staffed during all scheduled show hours; to leave the Exhibition Hall with all merchandise by the end of breakdown; to wear an exhibitor badge during set up, show and breakdown of show; and to keep booth area clean at all times.

8. EXHIBITOR MERCHANDISE: All exhibitor merchandise including, but not limited to the exhibit itself, that is not removed from the facility by the end of breakdown, as stated on the contract, shall be removed at the expense and responsibility of the exhibitor. This shall include the removal, transportation and storage of exhibit and merchandise.

9. FIREPROOFING: All decorations must be fireproof and must meet specifications of local fire codes.

10. REGULATIONS OF THE FIRE MARSHALL: No liquefied petroleum gases will be permitted on or in any type of vehicle or in any exhibit or show. All drapes, curtains, tenting, decorations, etc., unless made of noncombustible materials shall be flame proofed and a notarized flame proofing certificate provided at the exhibit and available for Fire Marshall inspection.

11. CHARACTER OF EXHIBITS: The Exhibitor agrees to display only new products or services sold in the regular course of business and described in this contract. Each exhibit must comply with all applicable laws, codes and ordinances. Exhibits shall be dignified in character and, in the judgment of PROMOTER, not offensive to the general public. The PROMOTER reserves the right in its sole discretion to reject and/or remove any exhibit or portion of exhibit not in keeping with this rule or purpose of the show.

12. SERVICE: All services, equipment, electricity, furniture and furnishings provided to the Exhibitor shall be paid for by the Exhibitor and shall normally be obtained through the service contractor designated by PROMOTER.

13. FOOD AND REFRESHMENTS: All concessions are licensed by the owner of the facility; no food or refreshments can be dispensed without the written consent of the owner or its agent and PROMOTER.

14. UTILITIES: Any and all utilities required, such as electricity, water, etc. will be the financial responsibility of the Exhibitor and must be ordered through official servicing agents of PROMOTER as listed in the Exhibitor Manual.

15. MUSIC AND OTHER MEDIA: Exhibitor shall be responsible for all licensing of copyrighted music or other media played or performed in its exhibit. Exhibitor shall indemnify and hold PROMOTER harmless for all claims and/or damages arising from its failure to obtain licenses for recorded or live music or other media played or performed in its exhibit space.

16. SOUND CONTROL: Loud speakers, radios, television sets, or the operation of any machinery or equipment which, in the opinion of PROMOTER, is of sufficient volume as to be annoying to neighboring exhibitors, will not be permitted.

17. SOLICITING: Throwing goods into aisles is prohibited. Helium balloons are also prohibited. Any electronic public address systems or amplifying devices are prohibited.

18. DAMAGE TO FACILITY: The Exhibitor is responsible for the space allotted and contracted for and agrees to reimburse Facility for any and all damage to floors, walls, doors, etc.

19. SIGNS: Except with the permission of PROMOTER, all signs shall remain within the Exhibitor's space, and must be designed and constructed so as to not detract from adjacent exhibits.

20. DISTRIBUTION OF LITERATURE AND SOUVENIRS: Printed advertising, souvenirs, etc. may be distributed by Exhibitor from its space only. Exhibitor must confine all sales activities to the limits of its own booth.

21. RULES OF THE EXHIBIT FACILITY: Rules published by the owner of operator of the building in which the show is located are incorporated herein by reference and made a part hereof. Such rules will be distributed upon request.

22. USE OF EXHIBITOR'S NAME: The exhibitor authorizes PROMOTER, its agents, and employees, to use the Exhibitor's name to promote the show and to solicit other exhibitors for this and future shows.

23. AMENDMENTS: PROMOTER has the full power to interpret these rules and regulations. Wherever these rules do not cover, PROMOTER reserves the right to make such rulings as may appear in the best interest of the show, and the Exhibitor agrees to accept and abide by such rulings.

24. ASSIGNMENT OF EXHIBIT SPACE: Is within the sole discretion of PROMOTER. PROMOTER will assign space in the order requested or assign equivalent available space. Floor plan and space assignments are subject to change by PROMOTER, without notice to Exhibitor, although reasonable attempts will be made to contact Exhibitor in such circumstances.

25. UNION LABOR: Exhibitor shall employ only union labor, as made available by official contractors in the installation and dismantling of its exhibit, and in its operation when required by union agreements.

26. BOOTH REPRESENTATIVES: Shall be restricted to Exhibitor’s employees and their authorized representatives.

27. ELECTRICAL SAFETY: All wiring on displays or display fixtures must conform to the applicable standards established by governmental agencies and standard fire inspection ordinances.

28. STORAGE: Is not permitted behind exhibits.

29. LOTTERIES/CONTESTS: The operation of games of chance, or lottery devices, is permitted to the extent permitted by applicable law and upon written approval from Promoter.

30. PERSONNEL and ATTIRE: Attire of booth personnel must be appropriate and in keeping with the best interests of other exhibitors and the Exhibition. Promoter has sole right to determine appropriateness of attire.

31. SET UP DEADLINE: If Exhibitor has not started setting up any of its displays by 3:00 p.m. of the day before the opening day of the Exhibition, Exhibitor is deemed to have canceled its booth space yet is still responsible for all unpaid charges.

32. RECEIPT of GOODS and EXHIBITS: All arriving goods and exhibits will be received at receiving areas designated by Promoter. All incoming goods and exhibits must be plainly marked and all charges prepaid.

33. PHOTOGRAPHY: Promoter retains all photographic rights for the Exhibition.

34. LICENSE ACCEPTANCE: Deposit of any kind does not constitute acceptance of this License. This License shall not be binding until accepted by Promoter via email.

35. LICENSE: THIS LICENSE is non-assignable by Exhibitor.

36. INTEREST and COLLECTION FEES: Exhibitor agrees to pay interest at a rate of 1% per month (12% per annum), or the maximum allowable by law, on all past due balances to Promoter.

37. This LICENSE contains the entire agreement between Promoter and Exhibitor.

38. HOTEL SUITES: Operation of hotel suites for sales or entertainment purposes is strictly prohibited during the open hours of exhibition.

39. ALL ADVERTISEMENTS with signed insertion orders are non-cancelable and non-refundable. In the event of cancellation, Exhibitor shall be responsible for full payment. All advertisements are subject to approval by Promoter.

40. 100% EXHIBITOR SATISFACTION GUARANTEE Or YOUR MONEY BACK PROGRAM: Pay 100% (full payment) of your exhibit space fee when submitting exhibitor application and specific exhibit space preferences in order to be eligible for this exhibitor guarantee. This offer expires on September 1, 2010. Show management will confirm via e-mail if the exhibitor application has been accepted and if the requested exhibit space is available. If the exhibit space requested is not available, show management will offer a comparable exhibit space location. In short, if a confirmed exhibitor's expectations fall short of what is promised by Show Management, we will refund exhibit space fees only- based on exhibitor's overall show experience. Exclusions: Severe weather conditions affecting attendance as this cannot be controlled or any official show vendor services (move-in/out, electrical, Internet, drayage, etc.). Show management reserves the right to consider a company's future participation at America's Outdoor Show if company chooses refund Option A: credit exhibit space fee for 2012 or Option B: refund 100% of exhibit space fee within 60 days of completion of show. Exhibitor must inform Show management of its selection of either Option A or Option B no later than move-out on Sunday, January 30, 2010.
